These terms govern Durasius independent software QA engagements (Release Check and Release Coverage). Website Sprint and Website Care are governed separately by the Website Sprint Service Terms.
1. Parties and Documents
These QA Service Terms apply between Durasius s. r. o. ("Durasius", "we") and the business named in the engagement confirmation ("the Client", "you").
Our agreement consists of, in order of precedence:
- The written engagement confirmation issued for your engagement (scope and dates; fees are stated in §6 and are not re-quoted per engagement)
- These QA Service Terms
- Any written variation agreed by both parties
Where the client issues its own agreement
Some clients have their own confidentiality or vendor agreements. Where a client issues one, it governs only once both parties have agreed it in writing. Until that point, and for anything the agreed document does not cover, these QA Service Terms apply. Where the two conflict on a point the agreed document addresses, the agreed document prevails on that point only.
Payment of the first invoice confirms your acceptance of the engagement confirmation and these QA Service Terms. No signature is required.
Work does not begin until it is clear in writing which terms apply.
2. Business Clients Only
This service is offered exclusively to businesses acting in the course of their trade, business, craft or profession. By engaging Durasius you confirm you are contracting as a business and not as a consumer. Consumer protection provisions, including statutory withdrawal rights, do not apply.
If you are not contracting as a business, tell us before paying — we will decline the engagement rather than proceed on the wrong footing.
3. The Service
Durasius provides independent, product-minded software quality assurance in two formats. Capacity, environments, platforms, roles and response windows are agreed in writing before work begins. There is no unlimited-releases option.
A release window is an agreed period during which Durasius tests one defined release candidate (or a tightly scoped set of changes treated as one release) against the agreed journeys, roles and environments, and returns findings within the response windows stated in the engagement confirmation.
Release Check
One defined release. Priority journeys, prioritised report with evidence, and one fix-verification pass. Delivered within 3 working days of complete access and context.
Release Coverage
Up to two agreed release windows per month. Maintained critical-journey map, pre-release exploration, issue reporting, fix verification, a monthly quality summary, and ongoing visibility between releases. Month to month.
Capacity, environments, platforms, roles and response windows are agreed in writing before work begins — there is no unlimited-releases option.

4. Timing

After an enquiry, Durasius confirms in writing within 1 business day what the engagement would cover and when work can start. Fees are stated in §6 and are not confirmed or varied per engagement.
The Release Check clock does not start, and no invoice is issued, until access to a working staging or preview environment has been confirmed.
The delivery clock starts on the later of: payment clearing, access working, and the release context being complete.
The clock pauses whenever access, context, or a decision is outstanding on the Client's side, and resumes when that item is resolved.
Business days and working days are Monday to Friday, excluding Slovak public holidays.
Delivery remedy
If the report isn't with the Client within 3 working days of access and payment being in place, the Client may request a full refund of that Release Check fee.
This remedy does not apply while the clock is paused under this §4, and it does not apply once the report has been delivered. Delivery, not preference, is what it covers.
5. Access, Credentials and Environments
Testing is performed on a staging, preview or other non-production environment provided by the Client. Durasius does not test against production unless the Client instructs it in writing and accepts the risk.
The Client provides test accounts for the relevant roles. Credentials are stored in a password manager, never in email or chat. Read-only or least-privilege access is used where the product allows it. Access is revoked on request and at the end of an engagement.
No production data is copied, exported or retained. Screenshots and recordings in the report are limited to what is necessary to reproduce a finding, and the Client may request redaction. Findings are shared only with the people the Client names.
If the Client requires an NDA before granting access, the Client's own NDA is signed on request. A short mutual NDA template is available from Durasius if the Client prefers to use it instead.
Client responsibility. The Client is responsible for its own backups and for the state of its test environments. Durasius is not liable for data created, altered or deleted in a test environment in the ordinary course of testing.
6. Fees and Payment

All prices exclude VAT. EU businesses with a valid VAT number are invoiced under reverse charge — no VAT added. Clients outside the EU are invoiced in EUR and are outside the scope of EU VAT.
Payment terms: invoices are payable within 7 days. Payment is by bank transfer unless another method is agreed in writing. Work begins when payment clears, not when it is sent.
Release Coverage is billed monthly in advance and may be cancelled by either party with 30 days' notice.
7. Findings and Deliverables
The report and all findings belong to the Client on delivery. Durasius retains no rights over them and does not reuse client-specific findings. Durasius retains its own general methods, checklists and know-how, which are not specific to any client.
For Release Coverage, the maintained critical-journey map is delivered to the Client on request and on termination.
8. What Durasius Does Not Guarantee
Durasius does not guarantee that all defects will be found. Durasius does not guarantee bug-free software, a successful release, any level of uptime, or any commercial outcome.
Testing is a sampling activity: it establishes evidence about what was tested, not proof that nothing else is wrong. Durasius is not liable for defects it did not find, and the release decision remains entirely with the Client's product and engineering team. Anyone who guarantees otherwise is guessing.
9. Client Responsibilities
You agree to provide:
- Accurate release context, expected behaviour, critical journeys, known limitations and excluded areas
- One named person authorised to answer questions and receive findings
- Timely access to the agreed environments and accounts
- Lawful right to grant the access provided
10. Confidentiality
Each party will keep confidential any non-public information received from the other — including the existence, content and timing of unreleased features — and use it only for the purposes of the engagement. This does not apply to information that is public, independently known, or required to be disclosed by law. This obligation survives the engagement by three years.
11. Portfolio and References
Durasius does not acquire portfolio rights over QA work. Durasius will not name the Client, describe the engagement, or publish findings without the Client's prior written permission. This is a trust term: QA work is confidential by default.
12. Data Protection
The Client should provide synthetic or anonymised test data wherever possible. Where personal data is unavoidably present in a test environment, Durasius acts as a processor, processes it only to perform the testing, does not export or retain it, and will enter a data processing agreement on request. Each party is responsible for its own GDPR compliance.
13. Limitation of Liability
To the maximum extent permitted by Slovak law, Durasius's total aggregate liability arising from or in connection with the engagement is limited to the fees paid by the Client for that engagement — for Release Coverage, the fees paid in the preceding three months.
Durasius is not liable for indirect or consequential loss, including lost profit, lost revenue, lost business opportunity, loss of data, or reputational harm.
Nothing in these terms limits liability for damage caused intentionally or by gross negligence, or any other liability that cannot lawfully be limited.
14. Termination
Either party may terminate for material breach that is not remedied within 14 days of written notice. Release Coverage may be cancelled by either party with 30 days' notice.
Amounts paid for a delivered Release Check are not refundable, as the deliverable has been provided. On termination, access is revoked and credentials destroyed.
15. Force Majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including illness, infrastructure or provider outages, natural events or acts of authority. Affected deadlines extend by the duration of the event.
16. General
These terms, together with the engagement confirmation, form the entire agreement and replace any prior discussions. Variations must be in writing. If any provision is found unenforceable, the remainder continues in force. Neither party may assign the agreement without the other's written consent.
17. Governing Law and Jurisdiction
These terms are governed by the laws of the Slovak Republic, excluding its conflict-of-law rules and excluding the UN Convention on Contracts for the International Sale of Goods.
The courts of the Slovak Republic have exclusive jurisdiction over any dispute.
